Workspace Terms & Conditions

1. Definitions
1.1 Werksy
Refers to Werksy Technologies Ltd, a company registered in the United Kingdom (“we,” “us,” or “our”), together with its officers, directors, and employees.
1.2 Workspace
The party agreeing to these Terms and offering its premises to end users (“Users”) for coworking or office use.
1.3 Platform
The Werksy website, mobile applications, backend systems, and any other services or tools provided by Werksy.
1.4 Stripe
The third-party payment processor through which all financial transactions under these Terms are carried out.
1.5 User
Any individual utilising the Werksy mobile app or services to access a Workspace through the Platform.
1.6 Visit
A session during which a User taps into and subsequently taps out of a Workspace using the Werksy Platform.
2. Acceptance & Eligibility
2.1 Registered Business
By listing your facility on the Werksy Platform, you confirm that you are a legally registered business entity, and that your Stripe account reflects accurate, up-to-date information about your legal status.
2.2 Compliance with Local Requirements
You must comply with all applicable laws, regulations, and permit requirements relating to the operation of your Workspace, including but not limited to fire safety, health and safety standards, and building codes.
2.3 Mandatory Amenities & Signage
Each Workspace must provide at least (a) reliable Wi-Fi, and (b) access to power outlets for Users. You agree to display Werksy’s check-in/check-out materials in a clear and prominent manner at your reception or primary entrance, using whatever format Werksy provides to your Workspace.
3. Scope of Services
3.1 Listing on the Werksy Platform
Werksy allows you to list details of your facilities (e.g., location, amenities) and accept Visits from Users for short-term coworking or office use. You grant Werksy permission to use any images, descriptions, or other materials you provide for promotional and informational purposes at Werksy’s discretion.
3.2 No Maximum Capacity
Werksy does not impose a maximum capacity on your Workspace. It is your responsibility to ensure compliance with any legal or building-specific capacity restrictions.
3.3 Use of Facilities
Users primarily use your Workspace for business or coworking activities. Werksy may, at its discretion, remove or delist your Workspace from the Platform for any reason, including but not limited to inappropriate conduct, legal issues, or user complaints.
3.4 Nature of the Platform
Werksy is a technology platform that facilitates connections between Workspaces and Users. Werksy is not a provider of physical workspace, does not employ or supervise Users, and has no control over the condition, safety, or management of any Workspace. The relationship between Werksy and the Workspace is that of independent contractors.
4. Payments & Fees
4.1 Merchant of Record
Werksy is the merchant of record for all transactions through the Platform. Users pay Werksy via Stripe for the time spent in your Workspace, and Werksy subsequently remits payment to you in accordance with these Terms.
4.2 Commission & Service Fee
Werksy charges a commission on each Visit, at the rate agreed separately in writing between the Workspace and Werksy. A service fee is charged to the User at the time of their Visit, as displayed within the Platform. This service fee is borne by the User and does not affect your payout. Commission rates and service fee structures are confidential and form part of your individual agreement with Werksy.
4.3 VAT & Taxes
Werksy does not separately charge VAT on its commission. You are responsible for determining and remitting any applicable taxes on your share of the revenue in accordance with your local tax laws.
4.4 Payout Process
Payouts are processed via Stripe into the bank account details you provide during onboarding. You may have the option to choose a payout schedule (e.g., daily, weekly, monthly) as facilitated by Stripe. Stripe’s records of all transactions serve as confirmation of amounts due and paid.
4.5 Payment Holds
Payouts are subject to a holding period of twenty-four (24) to forty-eight (48) hours to allow for the resolution of User disputes, chargebacks, or suspected fraudulent activity. Werksy reserves the right to extend this holding period at its sole discretion if circumstances warrant further investigation.
4.6 Currency
You may select your preferred local currency when onboarding to the Platform, subject to Stripe’s capabilities. All payouts are made in the selected currency unless otherwise agreed.
4.7 Discounts & Promotions
4.7.1 Overview: Workspaces may opt in or out of various discount programmes through their Workspace settings on the Platform. These discounts affect the final price paid by the User for their Visit. The service fee is calculated on the original rate and is not discounted unless otherwise stated.
4.7.2 Welcome Discounts: When enabled, eligible Users receive a one-time coupon that covers part or all of the cost of their first Visit to the Workspace. If a User’s Visit cost exceeds the coupon value, the User pays the difference. Werksy disburses funds to the Workspace according to the commission terms in these Terms. This discount replaces any prior free first Visit offers.
4.7.3 Extended Visit Discounts: Werksy may offer time-based discounts for Users who spend extended periods within a Workspace. The applicable discount thresholds and rates are set by Werksy and communicated to Workspaces via the Platform. Where such discounts apply, the Workspace’s net payout is based on the discounted total unless otherwise agreed.
4.7.4 Werksy-Led Promotions: Werksy may, at its discretion, run promotional offers for Users beyond the standard discount tiers. Where any additional discount is funded by Werksy, the Workspace’s earnings are only affected to the extent of any discount the Workspace itself has enabled. Any additional discount above that is covered by Werksy.
5. Refunds, Disputes & Cancellations
5.1 Refunds & Partial Refunds
Werksy, at its sole discretion, handles partial refunds and disputes raised by Users. While we may consult with you regarding the circumstances, the ultimate decision regarding refunds rests with Werksy.
5.2 Cancellations
You may cancel a User’s upcoming Visit at any time, but doing so may adversely affect your listing or incur penalties under separate policies that Werksy may develop. Users’ cancellations are subject to separate User Terms.
6. Liability, Insurance & Indemnity
6.1 Insurance
You are required to hold and maintain adequate insurance coverage, including public liability insurance, to cover any and all claims that may arise from the operation or use of your Workspace, including claims arising from the presence or conduct of Users admitted through the Werksy Platform. Werksy does not provide insurance coverage on your behalf under any circumstances.
6.2 Limitation of Werksy’s Liability
Werksy provides a technology platform only. Werksy is not an occupier, operator, or manager of any Workspace and accepts no responsibility whatsoever for the physical condition, safety, accessibility, or suitability of any Workspace. Werksy shall not be liable for any personal injury, illness, death, property damage, or any other loss or claim of any nature arising from a User’s Visit to your Workspace, regardless of how such claim arises.
To the fullest extent permitted by law, Werksy’s total aggregate liability to the Workspace under or in connection with these Terms shall not exceed the total commission earned by Werksy from your Workspace in the three (3) months preceding the event giving rise to the claim.
6.3 Indemnity
You agree to indemnify and hold harmless Werksy, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms
- Your failure to comply with applicable laws or regulations
- Any claims relating to the condition, safety, accessibility, or operation of your Workspace
- Any personal injury, illness, or death occurring at or in connection with your Workspace
- Any disputes or claims brought by Users based on your acts or omissions
- Any failure to maintain adequate insurance as required under clause 6.1
This indemnity applies regardless of whether such claims arise before, during, or after a User’s Visit.
7. Data & Privacy
7.1 Data Controller
Werksy Technologies Ltd is the data controller for all personal data collected through the Platform. Users sign up to Werksy directly, and Werksy holds all personal data relating to Users.
7.2 Data Shared with Workspaces
As a Workspace, you will receive limited visit and financial data relating to Users who visit your premises through the Platform. This data is provided solely for the purposes of managing and reconciling Visits. It does not include Users’ contact details, payment information, or any information that would allow you to identify or contact a User outside of the Werksy Platform.
7.3 Workspace Data Obligations
You agree that any data received from Werksy relating to Users shall be:
- Used only for the purpose of managing and reconciling Visits through the Platform
- Not used for marketing, profiling, or any other commercial purpose
- Not shared with any third party
- Retained only for as long as is necessary for Visit reconciliation purposes
You agree to handle any such data in accordance with UK GDPR and all applicable data protection legislation.
7.4 Workspace Data on the Platform
Any information you provide to Werksy in connection with your listing, including images, descriptions, and operational details, may be used by Werksy for the purposes of operating and promoting the Platform in accordance with our Privacy Policy.
8. Term & Termination
8.1 Term
These Terms commence on the date you list your Workspace on the Platform and continue until terminated by either party in accordance with these Terms.
8.2 Termination by Workspace
You may terminate your listing and remove your Workspace from the Werksy Platform by providing at least forty-eight (48) hours’ written notice to Werksy.
8.3 Termination or Suspension by Werksy
Werksy reserves the right to suspend or terminate your listing for any reason at its sole discretion, including but not limited to non-compliance with these Terms, negative User feedback, or legal or regulatory concerns.
8.4 Effect of Termination
Upon termination, any pending payouts may be held until the resolution of outstanding disputes. No new User Visits will be accepted after termination or during a suspension period, and any existing scheduled Visits may be cancelled by Werksy at its discretion.
8.5 Survival
The following clauses shall survive termination of these Terms regardless of the reason for termination: clause 6 (Liability, Insurance & Indemnity), clause 7 (Data & Privacy), clause 9 (Confidentiality & Non-Circumvention), clause 10 (Intellectual Property), and clause 11 (Governing Law & Dispute Resolution).
9. Confidentiality & Non-Circumvention
9.1 Confidential Information
All commission rates, Visit data, pricing structures, and other commercial details you receive from Werksy are considered confidential. You shall not disclose such information to any third party unless required by law.
9.2 Non-Circumvention
You agree not to engage in any activity aimed at circumventing the Werksy Platform. This includes but is not limited to directly soliciting Users who discovered your Workspace via Werksy to book or pay outside the Platform.
10. Intellectual Property
10.1 Use of Werksy Branding
You must display Werksy’s check-in/check-out materials in a visible location in your Workspace, in the format provided by Werksy. Any additional Werksy branding materials provided to you shall be used in accordance with Werksy’s branding guidelines.
10.2 Workspace Branding & Materials
By providing images, videos, or other promotional content to Werksy, you grant Werksy a royalty-free, worldwide licence to use and distribute such materials to promote the Werksy Platform and your Workspace.
11. Governing Law & Dispute Resolution
11.1 Governing Law
These Terms are governed by and shall be construed in accordance with English law.
11.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall be referred to and finally resolved by arbitration administered by the London Court of International Arbitration (LCIA) in accordance with the LCIA Rules in force at the time of the dispute. The seat of arbitration shall be London, England. The language of arbitration shall be English.
11.3 Good Faith Negotiations
The parties agree to attempt good-faith negotiations prior to initiating arbitration. The absence of a formal internal escalation procedure does not affect this obligation.
12. Disclaimer of User Conduct
Werksy does not warrant or take responsibility for the behaviour, conduct, or activities of any User accessing your Workspace. You acknowledge that any misconduct, illegal activity, or damages caused by a User is the User’s sole responsibility. Werksy’s role is limited to facilitating the connection between Users and Workspaces through the Platform.
13. Miscellaneous
13.1 No Geographic Obligation
Werksy currently has no geographic restrictions on where it operates or which Workspaces it accepts. We reserve the right to deny or remove any Workspace listing at our discretion.
13.2 Entire Agreement
These Terms, together with any separately agreed commission or rate schedule, constitute the entire agreement between you and Werksy relating to the subject matter herein and supersede any prior verbal or written agreements.
13.3 No Waiver
Any failure by Werksy to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
13.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remainder of these Terms shall remain in full force and effect.
13.5 Notices
Any notices required under these Terms shall be in writing and deemed delivered when sent via email to the registered address on file with Werksy, or via any other method of electronic notification recognised by law.
By listing your Workspace on the Werksy Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Werksy Pro – Supplemental Terms
These terms supplement the Werksy Workspace Terms & Conditions and apply specifically to Workspaces participating in the Werksy Pro subscription model.
1. Definitions
1.1 Werksy Pro
A subscription model allowing Users to pay a fixed monthly fee for flexible access across multiple Workspaces. The applicable subscription fee is as displayed on the Platform at the time of sign-up.
1.2 Revenue Pool
The aggregate subscription fees collected monthly from Werksy Pro subscribers, less Werksy’s fixed commission.
2. Participation & Commission
2.1 Participation
Participation in Werksy Pro is at Werksy’s sole discretion. Workspaces wishing to opt out must notify Werksy at least seven (7) days before the end of a month to cease participation for the following month. Werksy reserves the right to manage the availability of spaces within Werksy Pro.
2.2 Commission
Commission rates applicable to Werksy Pro, including rates on pay-as-you-go transactions for participating Workspaces, are as agreed separately in writing and form part of the Workspace’s individual agreement with Werksy. All commission terms are confidential.
3. Payments & Payouts
3.1 Revenue Calculation and Payouts
Your monthly earnings from Werksy Pro will be calculated based on the proportion of time Werksy Pro subscribers spend in your Workspace relative to total usage across all participating Workspaces. Payouts for Werksy Pro subscriptions will be processed within the first seven (7) days of the month following the subscription period.
3.2 No Payment Hold Period
There is no payment holding period applicable to Werksy Pro earnings.
4. Monthly Usage Caps
4.1 Setting and Modifying Usage Caps
Workspaces can set their own monthly usage caps for Werksy Pro subscribers. If you reduce your cap, the change will not take effect until the following month.
4.2 User Notifications
Werksy will clearly display each Workspace’s monthly cap and the User’s current usage within the app. Users will receive notifications prior to exceeding their cap and transitioning to pay-as-you-go billing.
5. User Sign-Up Incentive
5.1 Onboarding Reward
For each successful referral generated by the Workspace, you will earn a commission from the subscriber’s first monthly payment. The commission percentage is determined by the Workspace’s monthly hours cap as set on the first day of each month and is subject to a maximum cap as communicated by Werksy. Commission payments are processed alongside regular Werksy Pro payouts within the first seven (7) days of the following month.
5.2 Fair Usage and Abuse Prevention
Werksy reserves the right, at its sole discretion, to review, adjust, or withhold commission payments if a Workspace is found to be engaging in practices deemed unfair, abusive, or inconsistent with the intended use of the referral commission structure.
6. Promotions & Discounts
6.1 Werksy-Led Promotions
Werksy retains the exclusive right to offer promotions, discounts, and influencer-based incentives at its expense. These promotions will not affect the Workspace’s revenue share.
7. Access & Member Benefits
7.1 Member Benefits
The provision of any member-specific benefits (e.g., 24/7 access, dedicated desks, member events) to Werksy Pro subscribers remains at the discretion of the Workspace.
8. Reporting & Data
8.1 Dashboard Reporting
Werksy will provide clear reporting via your Workspace dashboard, distinguishing between Werksy Pro subscriber usage and standard pay-as-you-go Visits.
9. Termination & Opt-Out
9.1 Notice Period
Workspaces wishing to opt out from Werksy Pro must notify Werksy at least seven (7) days before the end of a month to cease participation for the following month. Werksy will handle all subscription payment processes independently, ensuring no disruption to User billing during this notice period.
